We are looking for Director, Assistant General Counsel for the Public Sector team. The candidate will manage a significant workflow of commercial agreements, draft and negotiate complex agreements with our public sector customers, anticipate and protect the company against risk exposure, advise stakeholders on the status of agreement negotiations, and exhibit a willingness to learn.

What You'll Bring:

  • Juris Doctorate (JD) degree required and 10+ years of experience, with at least the last 6 years of experience as a practicing attorney (in-house or law firm) focused on negotiating contracts and resolving disputes with U.S. federal, state, municipal, and educational institutions.
  • Comprehensive expertise of the FAR, DFARS and other agency FAR-supplements and experience interpreting them is required.
  • Preferred experience includes contracting on behalf of a commercial contractor providing multiple products and services, under multiple contracts TO the government.
  • Preferred familiarity with the process of responding to solicitations and understanding a variety of contract structures, including schedule contracts, firm fixed price contracts, time and materials contracts, prime contracts and subcontracts as well as different types of partnerships.
  • Preferred experience includes working at an information services company, advising clients with regard to and negotiating data and technology licensing agreements in a regulated environment, and a strong regulatory compliance background.
  • Knowledge and understanding of the following areas of law are preferred, but not required: FCRA, GLBA, privacy, technology, intellectual property, and partnering arrangements.
  • Familiarity with information security guidelines such as NIST or FedRAMP is also preferred, but not required.

  • Strong work ethic with the demonstrated ability to manage and handle a significant and diverse work flow in an effective and timely manner.
  • Ability to work independently, yet exhibit sound judgment in seeking guidance and direction from senior attorneys and escalating issues.
  • Ability to read, interpret and advise business partners on complex documents, including laws, contracts, business documents, system documents, company policies, and procedures.
  • This is a hybrid position and involves regular performance of job responsibilities virtually as well as in-person at an assigned TU office location for a minimum of two days a week

  • Maintain primary responsibility for reviewing, negotiating, and drafting complex contracts and related documents.
  • Provide advice to stakeholders regarding changes in the law, contracts, or other legal issues that may involve the company's short or long-term strategic operations.
  • Responsible for keeping abreast of current legislative and regulatory developments that may have an impact upon operations.
  • Assists other attorneys on various matters including those which present potential for litigation.
  • Ability to interpret/manage highly complex matters, often requiring research and engagement of outside counsel.
  • Maintain complete confidentiality of company-related business.
  • Keep immediate supervisor informed of pertinent developments within areas of assigned responsibilities.
  • Provide formal and informal training for internal clients.
  • Perform other related duties as assigned.
